Article 1. Scope
The present General Terms of Use and Sale apply to all services offered by GROUPE IA GROUPE INTELLIGENCE AUGMENTÉE (“Arkange” or “we”), to business clients (“the Client”). They prevail over any contrary condition of the Client, except specific written agreement.
Article 2. Description of the services
Arkange provides consulting, support, training and design and deployment of systems (including AI agents), according to the needs of the Client. The scope, the deliverables, the timelines and the execution terms are defined in a quote, a proposal or a contract.
Article 3. Order and contractual terms
Every order is subject to a written agreement (signed quote, purchase order, or contract). The commercial terms, including the invoicing arrangements, are defined in the applicable contractual document.
Article 4. Performance of the services
4.1 Obligations of Arkange
Arkange implements the means necessary for the proper performance of the services, according to the agreed scope. Unless otherwise stipulated, Arkange is bound by an obligation of means.
4.2 Obligations of the Client
The Client provides in due time the information, access, content and validations required. The Client designates a point of contact to facilitate coordination and decision-making.
Article 5. Intellectual property
The pre-existing elements of Arkange (methods, templates, modules, code, content) remain its property. The specific deliverables may be licensed or transferred to the Client according to the stipulations of the contract. Any use beyond the agreed scope requires the agreement of Arkange.
Article 6. Confidentiality
Each party undertakes to keep confidential the non-public information received from the other party in the course of performing the services, for the duration of the contract and for a reasonable period after its end.
Article 7. Personal data
Personal data processing, where applicable, is carried out in accordance with applicable regulation. For any request relating to personal data, contact dpo@arkange.io.
Article 8. Liability
The liability of Arkange is framed by the limitations applicable in the event of non-performance resulting from a breach by the Client, a case of force majeure or an external event. The applicable limitations of liability are specified in the contract or the quote.
Article 9. Termination
The conditions of termination, suspension and end of services are defined in the contract or the quote. In the absence of stipulation, each party may terminate for substantial breach after a formal notice has remained without effect.
Article 10. Applicable law and jurisdiction
The present General Terms of Use and Sale are governed by French law. In the event of a dispute, the courts of Lyon have exclusive jurisdiction, unless a contrary provision of public order applies.
